These Terms (the “Agreement” or “Terms”) contain the terms and conditions under which you may make use of the N3WS site at www.n3ws.org and /or the services that we make available to you. These terms constitute a legal agreement between you (“you” or “user”) and N3WS LLC, (incorporated in the State of Arizona and operates the N3WS website, hereinafter referred to as “N3WS,” “n3ws”, “we” or “us”), and, they govern your access and use of the website (the “Site”), content, products, and services (the “Services”), made available to you, whether as a guest, registered user, or paid user ("Subscriber").
Please read these Terms and any additional terms applicable to your use of the Site or the Services before using it. By accessing or using N3WS websites, you confirmh your agreement to be bound by these Terms which expressly supersede prior agreements or arrangements with you regarding the use of the Services.
N3WS respects the intellectual property rights of content creators, authors, and third-party providers. All original content on the N3WS site, including but not limited to articles, headlines, summaries, logos, branding, graphics, and design elements, is the property of N3WS or its content partners and is protected by applicable copyright, trademark, and other intellectual property laws.
Users are expected to respect the intellectual property rights of others when accessing or using our site, tools, or services. You may not: (i) remove any copyright, trademark, or other proprietary notices from any portion of the Site; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Site except as expressly permitted by us; (iii) decompile, reverse engineer or disassemble the Site except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Site; or (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Site or unduly burdening or hindering the operation and/or functionality of any aspect of the Site.
By submitting any content to N3WS—whether articles, comments, suggestions, or other materials—you grant N3WS a perpetual, non-exclusive, worldwide license to use, reproduce, distribute, modify, adapt, publish, translate, and display such content in any medium. You retain the copyright to your own original contributions unless otherwise agreed upon in writing. No compensation will be paid for the use of your submitted content unless a separate agreement has been made in advance.
If you believe that any content available on or through N3WS infringes upon your copyright or other intellectual property rights, please notify us promptly.
(i) Account types: In order to access and use aspects of the Services, you will register for and maintain a user account (“Account”). Subject to the Terms herein, certain portions of the Site are available to site visitors, including those portions before the creation of an account. N3WS offers two types of Subscriber accounts, and specific payment and features of each subscription level are described in the subscription page.
(ii) Eligibility: To register for an account, you must, and hereby represent that you will use the Services for business purposes only. You also represent that you are either a legal entity or an individual who is 13 years or older (due to COPPA laws).
(iii) Registration and acceptance: To use certain features on the Site, you may be required to register for an account and complete a profile with the required information. To create an account, you will be asked to submit certain personal information, such as your name, email address, phone number, and other relevant information, as may be required at the time of registration or by using a Single Sign-On (“SSO”) feature using your existing third party networking accounts that are enabled by N3WS now or in the future such as Google or others (“Third Party Networks”), if any. We may also require you to provide additional information about you and your preferences from time to time, which is not a compulsory requirement to register for a Subscriber account but may be helpful to N3WS in improving and providing you with a more customized user experience when using the Site.
(iv) Account security: Each individual who uses the Site must register for their own account. When you subscribe to our newslettes or register for an account, you may be asked give your email address. You are responsible for all activity that occurs under your account, and you agree to maintain the security and secrecy of your account information. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your accountt. You further agree not the Account or log in with the username and password of another User of the Site if (a) you are not authorized to use it or (b) the use would violate the Terms and Conditions. You hereby acknowledge and agree that N3WS will not in any way be liable to you for any loss caused by unauthorized access to and use of your account.
We reserve the right to revoke the privileges of the Account or access to or use of the Site or Services, and those of any and all linked Subscriber accounts without warning for any fraudulent, abusive, or illegal activity on your Subscriber account. We reserver the right to decline a registration for any reason.
(i) If you choose to subscribe to any of N3WS’s paid services, including our Premium plan (“Subscription”), you agree to pay all applicable fees in accordance with the pricing and billing terms in effect at the time of your purchase. A valid credit or debit card (Visa, MasterCard, American Express, or any other payment method accepted by N3WS) is required to complete your purchase. By providing your payment information, you authorize N3WS to charge your card for the initial Subscription fee and any recurring charges unless and until you cancel. It is your responsibility to keep your payment information and billing details accurate and up to date.
(ii) Your Premium Subscription will begin on the date of your purchase (“Service Commencement Date”) and will automatically renew at the end of each billing cycle (monthly or annually, depending on your plan) unless you cancel before the renewal date. Renewal will occur at the then-current subscription price. By subscribing, you authorize N3WS to charge your selected payment method on each renewal date without additional notice. If you wish to cancel your Subscription, you may do so at any time through your account settings or by contacting us. If you cancel, your Subscription will remain active through the end of your current billing period, but it will not renew. No refunds or prorated credits will be provided for partial use or early termination.
(iii) If your payment method fails, you agree to pay any amounts due upon demand. N3WS may suspend or terminate your access to Premium until payment is successfully received. Once payment is made, your Subscription will resume, and your new billing cycle will begin as of the date payment was received.
(iv) All fees listed are exclusive of applicable taxes. Depending on your location, sales tax or similar charges may be applied at checkout. You are responsible for paying any taxes associated with your Subscription that N3WS is not legally required to collect. You agree to indemnify N3WS for any liability or expenses incurred due to unpaid sales taxes.
You hereby represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted or shared by you through the service will be in violation of the rights of any third party, including but not limited to the copyright, trademark, publicity, privacy or other personal or proprietary rights.
Although we are committed to providing a safe user experience, we do not guarantee that the Site, or any content in it, will be safe, error-free or uninterrupted, or that it will be free from bugs. From time to time, access to the service may be interrupted, suspended, or restricted, including because of a fault, error or unforeseen circumstances, or scheduled maintenance. We shall not be liable to you for any loss or damage that you may suffer as a result of the service being unavailable at any time for any reason.
To the fullest extent permitted by law, these Terms and Conditions and any other agreements, notices or other communications from N3WS to you regarding our services being offered (“Communications”) may be provided to you electronically, and you consent and agree to receive Communications in an electronic form. Electronic Communications may be posted on the pages within the N3WS website and/or delivered to your email address.
Also, you expressly consent to be contacted by us, our agents, representatives, affiliates, or anyone calling on our behalf for any and all purposes, at any telephone number, or physical or electronic address you provide or at which you may be reached. You may withdraw your consent to receive Communications electronically by unsubscribing. If you withdraw your consent, from that time forward; we may still send you relevant information about your account and any transaction detail carried out between you and other users on the N3WS Site. You further acknowledge and agree that opting out and withdrawing consent may impact your use of the N3WS service.
N3WS is operated from its offices in Arizona, United States. While our website and services may be accessible from other countries, we make no representation that the content, features, or services available through N3WS are appropriate or available for use in jurisdictions outside the United States.
Users who choose to access N3WS from outside the U.S. do so at their own initiative and are responsible for complying with all local laws and regulations that may apply. By using N3WS, you agree that all matters relating to your access and use of the site will be governed by the laws of the State of Arizona, without regard to conflict of law principles. You also consent to the exclusive jurisdiction of the courts located in Arizona for the resolution of any disputes arising from or related to these Terms of Service or your use of N3WS.
While we strive to provide accurate and up-to-date information, the information presented on or through the Sites are made available solely for general information purposes. N3WS does not guarantee the completeness, accuracy, or reliability of any content published on our platform. News articles, features, and other materials may be edited, updated, or removed at any time without prior notice. N3WS may include links to third-party websites or feature content provided by external sources. We do not endorse or assume responsibility for any third-party content, services, or practices. Subscribers are responsible for evaluating and determining the suitability of any information on their own.
To the fullest extent permissible by applicable law, we disclaim all representations and warranties of any kind, express or implied, as to the operation, accessibility, or security of this site, and the accuracy, completeness, currency, or reliability of any of the content or data found on this site, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee continuous, uninterrupted, or secure access to its services, and the operation of our site may be interfered with by numerous factors outside of our control. You hereby agree to indemnify, defend, and hold harmless N3WS, our Affiliates and each of their respective stakeholders, and our respective directors, officers, employees, representatives, and agents (each an “Indemnitee”) from and against any and all claims, losses, expenses, liabilities, damages or demands (including attorneys’ fees and costs incurred), in connection with or resulting from, directly or indirectly, your use or misuse of the N3WS Site and/or the Services.
You and N3WS agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site, Products or Content (collectively, “Disputes”) will be settled by binding arbitration in the event where informal negotiation did not work, except that each party retains the right: (i) to bring an individual action in small claims court and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights (the action described in the foregoing clause (ii), an “IP Protection Action”).
You and N3WS agree to the fullest extent permitted by applicable law, that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Further, if the parties’ dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.
CHANGES TO THIS AGREEMENT: We may modify these Terms at any time, at our sole discretion as they are subject to change. If we do so, we will let you know either by posting the modified Terms on the Service (“Amendment Notice”) or through other communications such as the email address registered in your account. It’s important that you review the Terms whenever we modify them because if you continue to use the Services after we have posted modified Terms on the Site, you are indicating to us that you agree to be bound by the modified Terms.
